UAE rolls out investor-friendly tax reforms to attract global capital

The UAE has introduced a fresh wave of tax and regulatory reforms aimed at boosting investor confidence and economic growth.

The Ministry of Finance has announced a series of favourable tax measures targeting Qualifying Investment Funds (QIFs) and Qualifying Limited Partnerships, offering them significant relief under the UAE’s evolving corporate tax framework.

Under the updated regulations, income generated through QIFs will be exempt from UAE Corporate Tax, provided certain criteria are met. These include a cap on real estate holdings—limited to 10% of the fund’s assets—and strict ownership diversity standards.

To encourage long-term investment and flexibility, the government is allowing QIFs a grace period to correct any breaches in ownership diversity, as long as such violations don’t exceed 90 cumulative days in a year or occur during the fund’s liquidation phase.

Even when certain conditions are breached, the consequences won’t be blanket. The Ministry clarified that only the non-compliant investors will be impacted, preserving tax exemptions for the rest of the fund. Additionally, if a QIF surpasses the real estate threshold, only 80% of the fund’s property income will be taxed, aligning its treatment with that of Real Estate Investment Trusts (REITs).

For foreign investors, the reforms simplify red tape. Juridical foreign stakeholders in REITs and QIFs who meet specific criteria and distribute at least 80% of their income within nine months of the financial year-end will only be required to register for Corporate Tax when dividends are actually distributed—a move that’s expected to reduce compliance headaches.

In a broader context, the reforms also allow certain limited partnerships to claim tax-transparent status, bringing the UAE further in line with international tax transparency standards.

Seen as a bold step toward future-proofing the nation’s economic landscape, these changes reinforce the UAE’s ambition to become a go-to destination for global capital, combining regulatory clarity with investor-centric policies.
